EPICeDEALS Vendor, Advertiser, and User Agreement

Introduction
Welcome to EPICeDEALS, a digital marketplace operated by AVM, Inc. ("EPICeDEALS," "we," "us," or "our"). By accessing, browsing, registering with, advertising on, purchasing through, or otherwise using the EPICeDEALS website, services, applications, or marketplace (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Agreement").
If you do not agree to these Terms, you may not access or use the Services.
Marketplace Services
EPICeDEALS provides an online marketplace that allows registered vendors and advertisers to offer products, services, events, activities, discounts, promotional offers, and giveaways to consumers.
EPICeDEALS acts solely as a marketplace platform and advertising venue. Unless expressly stated otherwise, EPICeDEALS is not the seller, manufacturer, distributor, fulfillment provider, or guarantor of any product, service, event, activity, offer, or promotion listed by a vendor.
All transactions are entered into directly between the buyer and the vendor. Vendors are solely responsible for the accuracy of their listings, fulfillment of orders, customer service, warranties, refunds, and compliance with all applicable laws and regulations.
Vendor Obligations
Each Vendor agrees to:
- Fulfill all purchased products, services, or event access in accordance with the terms stated in the applicable listing.
- Deliver purchased items or services within the timeframe stated in the listing and, unless otherwise disclosed, no later than thirty (30) calendar days following receipt of payment.
- Provide purchasers with an order confirmation within twenty-four (24) hours of receiving notice of the order from EPICeDEALS.
- Submit a completed IRS Form W-9 and all required payment information before receiving any disbursement of funds.
- Comply with all federal, state, and local laws applicable to the products, services, events, or activities offered through the Services.
- Maintain accurate business information and promptly update any changes.
If a Vendor cannot fulfill an order, the Vendor must issue a full refund to the purchaser within ten (10) business days and provide confirmation of the refund to EPICeDEALS upon request.
Payment Processing
EPICeDEALS may collect payments on behalf of Vendors. Following confirmation of payment and completion of any fraud-prevention review, EPICeDEALS will initiate payment to the Vendor within seven (7) business days, less applicable fees, taxes, refunds, chargebacks, and other authorized deductions.
Payment schedules may be delayed due to banking holidays, fraud reviews, payment disputes, or circumstances beyond EPICeDEALS' reasonable control.
Free Vendor Program
The Free Vendor Program is available to eligible businesses that register using an approved referral code and satisfy all applicable registration requirements.
To maintain Free Vendor status, a participant must successfully refer at least three (3) businesses every calendar year and that complete registration as Free Vendors.
EPICeDEALS reserves the right to modify, suspend, or terminate the Free Vendor Program upon thirty (30) days' notice.
Acceptable Use Policy
Users may not:
- Post unlawful, fraudulent, deceptive, misleading, defamatory, or infringing content.
- Post pornography, explicit sexual content, or graphic depictions of violence.
- Upload malicious software, viruses, malware, ransomware, or harmful code.
- Engage in harassment, threats, stalking, doxxing, swatting, or unlawful disclosure of personal information.
- Use automated tools to scrape, crawl, harvest, or collect information from the Services without prior written authorization.
- Attempt to gain unauthorized access to accounts, systems, or data.
- Interfere with the operation, security, or functionality of the Services.
EPICeDEALS reserves the right, in its sole discretion, to remove content, suspend accounts, or terminate access for violations of this Agreement.
User Content
Users retain ownership of content they submit to the Services.
By submitting content, you grant EPICeDEALS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and use such content solely for the purpose of operating, improving, marketing, and promoting the Services.
You represent and warrant that you own or have all necessary rights to submit such content and that the content does not violate any law or infringe any third-party rights.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPICeDEALS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY.
EPICeDEALS DOES NOT GUARANTEE THE ACCURACY OF LISTINGS, THE QUALITY OF PRODUCTS OR SERVICES, OR THE PERFORMANCE OF ANY VENDOR.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPICeDEALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
EPICeDEALS' TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID TO EPICeDEALS BY THE CLAIMANT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Modifications
EPICeDEALS may modify these Terms from time to time. Material changes will become effective thirty (30) days after posting. Continued use of the Services following the effective date constitutes acceptance of the revised Terms.
Governing Law
This Agreement shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.
